Which type of company can I register?
At the moment we incorporate the Sociedad Limitada (S.L.) — the Spanish counterpart of a private limited company (Ltd.) and the structure most small and medium-sized businesses in Spain operate under. The law requires a minimum share capital of €3,000.
Is there a minimum age for shareholders?
Yes — every shareholder must be a legal adult, i.e. at least 18 years old.
Can you help with a corporate bank account?
Yes. Opening a bank account for the new company is available as part of our service.
How is the share capital paid in?
You state the amount of share capital in the registration form; that sum then has to be deposited into the company’s own account.
Which documents will I hold after formation?
Two documents confirm your new company:
Deed of Incorporation (Escritura de Constitución) — the founding document executed before a notary. It records the company name, its corporate purpose, the registered office, the share capital and the identity of shareholders and directors.
Registration Certificate (Certificado de Registro Mercantil) — issued by the Commercial Registry once registration is complete. It confirms the company legally exists and states the registered name, registration number and registration date.
When will I get the company statute to sign?
As a rule the statute is ready and sent to you within 3 business days of your application.
How long does registration take once I have signed?
Typically a matter of weeks — the exact timing depends on the incorporation date selected for the company.
How do I sign the company statute?
