How to start a Portuguese company

  1. Prepare your documents

    Only two items are required:

    • a scan of your passport
    • your NIF (Portuguese tax number)
  2. Send the application

    Filling in the online form takes about five minutes; the setup fee is paid right after submission.

  3. Sign the company statute

    We prepare it and send it over — usually within 5 business days (an estimate, not a guaranteed deadline).

  4. Get the certificate

    Once the registry completes the incorporation, you receive the company registration certificate.

Good to know: a business bank account in Portugal can only be opened once you already hold a personal account.

Which legal forms can I choose from?
Through our platform you can set up an LDA — the Portuguese limited liability company — or register as a freelancer (sole trader).
What does the incorporation process involve?
It starts with a conversation: our team checks whether your preferred company name is available. We then arrange Portuguese tax numbers (NIF) for everyone involved, draft the articles of association and the remaining legal paperwork, and file the company with the Portuguese Commercial Registry. After that we walk you through opening a business bank account, where the initial share capital is deposited. With those steps done, your company is officially registered and free to operate.
How does ownership of an LDA work?
The registration form asks you to define the shareholding structure — who owns the company and in what proportions. Up to 4 shareholders can be registered in a single company, and a single-owner setup (Unipessoal LDA) is available as well.
Are there age restrictions for shareholders?
Shareholders must be adults of legal age — 18 or older.
How do I open a bank account for the company?
Thanks to our partnership with Wise, opening a business account is a streamlined part of the service — no separate battle with the banks required.
When does the share capital need to be transferred?
The capital amount you declare during registration must land in the company’s bank account within one year of the company being opened.
What documents confirm the company’s formation?
You receive two documents: the RCBE (the beneficial-owner register record) and the Certidão Permanente (the permanent company registration certificate).
How quickly is the company statute sent for signing?
In most cases within 3 business days of the date you applied.
How long after signing is the company registered?
Registration is completed in about one week.
How is the statute signed?
After your application, documents and payment are received, we email you the statute. Print it out, sign it and send us the scan back.
